Evolution Continues Share Buybacks While Candle Lake Offer Is Open
Evolution kept buying its own shares in the week of 24–28 August 2026, while Candle Lake Limited’s mandatory cash offer was still open. The company reported 853,947 shares acquired that week in a 31 August 2026 press release.
This is a capital-structure update, not a game-catalogue reset. Evolution is a B2B live-casino and slots supplier. Free spins still sit in each casino’s own terms. Nothing here is a bonus, a deposit offer, or a promise you will win.
What Evolution bought in late August
The repurchase sits inside a programme the board announced on 18 May 2026. Evolution says the aim is to optimise the capital structure by reducing capital and, in the company’s words, create added shareholder value.
Trades ran on Nasdaq Stockholm through Citibank, which Evolution says makes timing decisions independently of the company. The programme follows the EU Market Abuse Regulation and the Commission’s Safe Harbour rules.

The five daily values in that table add up to about SEK 712 million. Weighted average prices that week sat in a band of about SEK 827 to SEK 837.
The Candle Lake offer was still open
On 24 August 2026, Evolution’s board recommended that shareholders reject Candle Lake’s mandatory cash offer of SEK 695 per share. The offer was submitted on 13 August 2026. The acceptance window opened on 17 August 2026 and was expected to run until around 15 September 2026.
The late-August repurchase week therefore overlapped the offer. Evolution’s own daily prices in that week were above the SEK 695 cash price in the board statement. The board had already said the offer did not reflect fair market value, given the discount versus the share price at the time of that statement.
Candle Lake’s holding of about 30.02% of shares and votes on 24 July 2026 is what crossed the Swedish mandatory-bid threshold. The board also noted Candle Lake’s wording: the offer is not motivated by an intention to acquire all outstanding shares.
How this fits Evolution’s capital-allocation framework
Evolution’s published capital-allocation framework puts organic growth first. After investment in the existing business, dividends and any M&A, the board says it aims to distribute 100% of remaining excess cash. That return is generally done through share repurchases.
The board seeks annual AGM authorisation to hold own shares up to 10% of all shares. The 19,922,661-share ceiling in the 31 August release is 10% of the 199,226,613 shares then outstanding. After the late-August week, own shares were 13,540,102, or about 6.8% of that total.
What this means if you play Evolution games
Evolution develops, produces, markets and licenses integrated online casino solutions to operators. A repurchase week does not, on the official record, change live tables, slots, RTP, or how an operator credits free spins.
In the 24 August board statement, Candle Lake said it had no current plan for material changes to Evolution’s operations, sites, management or employees, including employment terms. The board said it assumed that was correct.
Eligible games, stake, wagering, expiry and any max cashout still sit in the casino’s promotion terms. Use those terms, not a share-buyback headline, before you spin. Play only with money you can afford to lose.
