Evolution Board Recommends Rejecting Candle Lake’s Mandatory Offer

Evolution’s board has told shareholders not to accept Candle Lake Limited’s mandatory cash offer of SEK 695 per share. The statement was published on 24 August 2026 at 09:00 CEST.

If you play live tables or provider slots that run on an Evolution feed, treat this as a shareholder decision, not a product reset. Both the board and Candle Lake say they do not plan material changes to operations, studios, management or staff. Free spins still depend on the casino’s own terms, not on who owns a slice of the supplier.

What the board decided

Candle Lake submitted the public cash offer on 13 August 2026. The offer document followed on 14 August. The acceptance period opened on 17 August 2026 and is expected to run until around 15 September 2026.

The board recommends that shareholders do not accept.

The trigger sits in a 24 July 2026 holding. Candle Lake said it had reached about 30.02% of Evolution’s shares and votes, which crossed the mandatory bid threshold under Swedish takeover law.

Facts from the 24 August board statement

  • Offer price: SEK 695 in cash per Evolution share
  • Offer date: 13 August 2026. Document: 14 August 2026
  • Acceptance window: 17 August 2026 until around 15 September 2026
  • Mandatory-bid trigger: about 30.02% of shares and votes on 24 July 2026
  • Completion is only conditional on regulatory and governmental clearances
  • Candle Lake currently assesses that the customary clearances are already in
  • Board legal adviser: Gernandt & Danielsson Advokatbyrå
  • Offer site: www.gaming-offer.com

How SEK 695 compares in the official statement

The board restated Candle Lake’s own reference points. These are not a live quote. They are the figures Evolution published.

  • Equal to the SEK 695 close on 24 July 2026, the last session before Candle Lake announced the mandatory-offer duty
  • A premium of about 1.6% versus the 20-day VWAP of SEK 683.8 through that same date
  • A discount of about 5.7% versus the SEK 737.2 close on 12 August 2026, the last session before the offer was announced
  • A discount of about 3.3% versus the 20-day VWAP of SEK 718.8 through 12 August 2026

Why the board said no

The board’s conclusion is blunt. The offer does not reflect Evolution’s fair market value, given the discount versus the share price at the time of the statement.

It also notes Candle Lake’s own wording. The offer is not motivated by any intention to acquire all outstanding shares. It is being made because the mandatory-offer rule was triggered.

What this means if you use Evolution games

Evolution is the live-casino and group-slots supplier behind many of the tables and branded slots you see in free-spins lobbies. A rejected bid, or a lightly accepted one, does not, on the official record, change game lists, RTP, or how an operator credits spins.

Candle Lake has said it has no current plan for material changes to Evolution’s operations, sites, management or employees, including employment terms. The board assumes that is correct and says it has no reason to take a different view.

The practical checks stay where they always were. Eligible games, fixed stake, wagering, expiry and any max cashout sit in the casino’s promotion terms. Nothing here is a promise you will win, and free spins are not a reason to deposit more than you planned to spend.

If you want the product side rather than the bid, start with the site’s Evolution live casino guide and the no-deposit free spins hub.

Who Candle Lake is

iGaming Business and SBC News describe Candle Lake as Kenneth Dart’s investment vehicle. Those outlets have put the offer’s implied value around SEK 131.7 billion. SBC has also reported that if ownership went above 90%, Candle Lake had said it would look at taking the company private and delisting it from Nasdaq Stockholm.

That 90% scenario is press reporting, not a claim in Evolution’s 24 August board statement. The official holding figure used here is the one in that statement: about 30.02% on 24 July 2026, when the mandatory-bid threshold was crossed.
